Penningtons Manches Cooper LLP is seeking an Associate Solicitor to join its highly regarded Corporate Tax team. This is an exciting opportunity to become part of a specialist practice that advises a diverse portfolio of UK and international clients on complex transactional and standalone tax matters.

The team is recognised for delivering commercially focused, pragmatic advice across the full spectrum of corporate tax work. From business acquisitions, disposals, and reorganisations to VAT, international tax, stamp duty, and tax disputes, the team supports clients with tailored legal solutions designed to meet their strategic objectives.


About the Team

Penningtons Manches Cooper’s Corporate Tax team provides comprehensive support on a broad range of matters, offering both transactional tax advice and standalone specialist guidance. The team is known for its ability to handle the complete lifecycle of corporate tax issues without relying on external consultants, helping clients achieve efficient and cost-effective outcomes.

The practice is particularly well regarded for its work in the venture capital sector, advising businesses on tax-efficient investment structures and the implementation of share incentive arrangements for employees, directors, and advisers.

Areas of expertise include:

  • Tax structuring for acquisitions, disposals, and reorganisations

  • Tax clearances and HMRC-related applications

  • Stamp duty implications of transactions and restructurings

  • VAT and wider indirect tax matters

  • International tax issues

  • Tax disputes and contentious matters

  • Venture capital tax advice, including S/EIS-related work

  • Share incentive scheme establishment and documentation

  • Drafting and negotiation of tax deeds and warranties

A key strength of the team is its ability to provide bespoke advice to each client, drawing on wider expertise from across the firm where needed. This collaborative and client-centric approach has helped the firm build lasting relationships and become a trusted adviser on tax matters.


The Opportunity

As an Associate Solicitor, you will play an important role in supporting the team on a wide variety of high-quality tax matters. You will work closely with colleagues and clients, contribute to live transactions, and assist with day-to-day case management and business development activity.

This role would suit a commercially minded solicitor who enjoys working in a fast-paced environment, values attention to detail, and is confident managing client communications while balancing multiple priorities.


Key Responsibilities

In this role, you will:

  • Undertake fee-earning work and contribute profitably to the division

  • Support the firm’s strategic growth in line with its business plan and shared objectives

  • Deliver high-quality commercial legal services in accordance with professional standards and ethical obligations

  • Act as an ambassador for the firm, representing it positively at all times

  • Communicate with clients by email and telephone, including taking instructions

  • Carry out document reviews and accurately record findings

  • Assist with general case management and the smooth day-to-day running of matters

  • Provide ad hoc support to the wider team as required

  • Contribute to business development, including updating and maintaining marketing materials and contact lists

  • Assist in preparing documentation to establish client share incentive schemes

  • Prepare HMRC applications for S/EIS relief and issue certificates for investors


What We’re Looking For

Essential criteria:

  • 2-5 years’ post-qualification experience

  • SRA qualified lawyer

  • Excellent written and verbal communication skills

  • Strong IT skills, including confidence using Microsoft Office

  • Ability to manage a busy and varied workload

  • Excellent organisation and prioritisation skills

  • Ability to work both independently and collaboratively

  • Confidence in client-facing meetings and communications

  • Strong attention to detail and accuracy

  • A positive and receptive approach to change

  • Ability to work effectively under pressure

  • Strong commercial awareness and appreciation of fee-earner requirements and deadlines


Working Arrangement

The firm operates a hybrid agile working policy, allowing employees to work from home, or from another UK location, for up to 50% of their working time.

In addition, candidates and employees may apply for other flexible working arrangements, either during the recruitment process or at any stage of employment.
